City of Laurel Park Board minutes Thursday October 6, 2016 In attendance were Iry Wilke,Chuck Dickerson, Bruce McGee,Scot Stokes and Gretchen Paulson. Absent was Amy Pollock and LuAnne Engh. Called to order at 5:30 pm. Others in attendance: Phyllis Bromgard, Laurel Lions Club 628-6288. Additional items for Tuesday City Council workshop from the Park Board: • None at this time. 1. Public comment Phyllis Bromgard of the Laurel Lions Club attended. They are wanting a partnership with the Laurel Park Board for making needed improvements to South Pond and Lions Park. They have the resources and would like input and approval for making improvements to the park. This kind of partnership has not occurred in the past and she would like to see that changed. Here is a list of project ideas for Lions Park and south pond: • More benches along the paths—what were the current ones purchased/produced? Could Lions Club purchase and install more? • Add more playground equipment • Fence around the playground equipment • Install volleyball court • Add trees around playground—want to know where to plant them and what kind would be best for the park. We suggested she talk with LuAnne Engh of the Laurel Tree Board. • Future: Install a fishing deck for kids with disabilities to be able to fish without being in the water—similar to the Glasgow, MT fishing deck. Further discussion around fishing and swimming in South pond occurred. Iry agreed to contact the Fish Wildlife&Parks for a program around loaning of fishing poles to kids. 2. Lease negotiations • Lease for the Laurel Rifle Club building? Information per Iry Wilke. Laurel Rifle Club needs an improved air filtration system and has issues with too much lead in the building. Currently,it is a manual labor process to remove the solid lead when needed. The current air filtration system in the building is not in a good spot: it needs updating to improve power in the fan and make the fans mobile to move with the shooting range. Iry stated the building must meet NRA standards by a certain time period at a cost to the Laurel Rifle Club if they are going to lease the building. 3. Riverside Park priorities for improvement Vault toilets: Gretchen read the email from Kurt Markegard dated 9/22/2016,subject:Yellowstone River Draft Restoration Plan. See attached for full wording. Summary of discussion after email was read: • Exxon Mobil to pay settlement, Riverside Park has been chosen to receive a vault toilet in the settlement. • Kurt's suggestion is to wait on paying for a vault toilet if it will be covered in the settlement. • If it doesn't happen,the Park Board and City can proceed as planned to pay and install Vault. • The Fish,Wildlife and Parks department should still be contacted for additional funding for an additional vault due to the traffic brought to Riverside Park for the boat loading dock. Permitting process: September meeting: Kurt to get with Great West Engineering on creating a Task Order for the vault toilet permitting process. He also suggests contacting Fish,Wildlife and Parks(FWP)to help pay for the vaults since the boat ramp is a draw for tourism. October meeting: no update from Kurt on the permitting process. Kurt Markegard or Heidi Jensen—please update the Park Board on the permitting process at Riverside Park with Great West Engineering. Either your attendance at the November meeting or by email would be greatly appreciated. 4. Ideas for park activities- hold for November meeting South Pond was suggested for park activities;there is ample parking,toilets,less mosquitos, Music could be in shelter and food trucks surrounding. Create a running list of activities to remain in future minutes: • Investigate mosquito reducing sprays for park before planned activities. • Movie night in the park • Music in shelter 5. Discuss combining committees with Park Board,Cemetery Commission and Tree Board Iry was not able to meet with Mike Whitaker, Billings Parks and Recreation director in September. He will continue to try to meet with him. 6. Other items. LuAnne asked Shirley Ewan for the details of the pool revenue and attendance. See attached fur full details from Shirley. Here is a quick summary of the numbers: • $247 more in revenue 2016 than 2015 • $9,081 less in expenditures 2016 than 2015 • 2016 deficit:$44,689.58;2015 deficit:$54,024 Difference of$9,328 Great big THANK YOU to the maintenance staff who helped to keep the pool filled with water and warmer this year than in past years. We can see it helped!!! Gretchen Paulson's term is up on 12/31/2016. She will not be renewing her Park Board membership. Phyllis Bromgard is interested in joining the Park Board. We suggested she send a letter to the Mayor with her intent. Priority list of improvements requested by the Park Board for permitting: 1. Install vault toilets&ADA ramping 2. Open campground—(Jaycees to manage)Add bbq pits, upgrade tables,add fire pits and shelter(similar to Thomson park shelter). 3. Add playground equipment—flow through materials,tables and/or benches 4. American Legion building improvements—septic tank and drain field work and fix bathrooms. 5. Clean up metal at old dump in back of Riverside Park—previous estimate sent to Kurt Markegard from Billings metal company to come and do clean up work. November 3 at 5:30pm Agenda items: • Lease negotiations— • Should there be a lease for use of the LRC(Laurel Rifle Club) building? Review existing items discussed in 2015 and invite LRC to a future meeting for discussion on terms. • Next steps for gifting building to Laurel Rod& Gun Club? Box 10,Laurel,Montana 59044,hereinafter referred to as "City"(Lessor),and Laurel Rifle Club,whose business address is Highway 312,South of Laurel, hereinafter referred to as`Lessee". If this lease is terminated during either 5-year terra,the City agrees that Lessee may remove from the buildings on the premises all business equipment and fixtures installed by Lessee,including,but not limited to,all seating fixtures,draperm4ing equipment,sound equipment and IImrniture. ARTICLE V Std A. Lessee shall pay the City rent in the amount of 81.00 per year es consideration for the use of the premises. Lessee shall pay annually on or before the anniversary date of his/her signature on the agreement. • The Payment of rent includes the following Use and lawfid possession of the Laurel Rife Club Building and outdoor shooting range. Lessee shall pay the following charges each and every month as follows:Water,garbage, and electrical charges for the premises. ARTICLE VI Rath City will make all major interior and exterior repairs to the building. Major repairs are defined as consisting of non-recurring structural,electrical,plumbing and mechanical rep*. All minor or routine repairs on the inside and outside of the building shall be Lessee's responsibility. The City's obligation to undertake major repairs does not include major repairs necessitated by any acts of Lessee,its agents,employees,officers,or invitees. Interior improvements pursuant to Article VIII are excluded from the definition of"repairs" 2 I under this section. ARTICLE VII Condition Neither the City nor any of its agency have made any representations with respect to the above-described property except as expressly set forth herein,and no rights, easements or licenses are acquired by Lessee by implication or otherwise, except as expressly set forth herein. Acceptance ofpossession of the above-described property by Lessee shall be conclusive evidence that Lessee accepts the same"as is"and that the property was and is in good conditions at the time possession was accepted. ARTICLE VIII Interior Improvements Lessee is responsible for all interior improvements to the building. However,said interior improvements are subject to prior review and approval by the City,which shall not be unreasonably withheld. Lessee shall provide the City with an estimate of the cost of any interior improvements at - the time Lessee submits its building plans to the City for consideration and approval. Lessee further intends to construct an indoor bathroom in the building. Said construction shall be subject to the provisions listed in this Article. Said bathroom shall remain in the building and in the possession of the City suer the Lease period has ended. ARTICLE IX Right to Inspect Premises The City has a right, at alt times during the term of this lease,through its agents and employees,to enter upon the leased premises for the purpose of examining and inspecting the same to determine whether Lessee has complied with its obligations hereunder with respect to the care and maintenance of the premises,and the repair or rebuilding of the improvements therein when necessary. This right of inspection may only be exercised after 24 hours'notice to Lessee of City's desire to inspect the premises. This 24-hour notice is necessary to insure that a representative of Lessee will be available to accompany City's representative at the time of inspection, 3 ARTICLE X las gent/CancdIntion/Terminntion(Negotistioa A. Assignment. Neither City nor Lessee may assign,transfer or sublet its rights under this Lease to any party without prior written consent of the other party. B. Cancellation. It is agreed by both the parties that this lease shall not be canceled without good and reasonable cause. In the event the promises leased hereunder or any portion thereof is not available for occupancy or use upon commencement of during the term of this Lease due to fire, casualty, acts of God,strikes,national emergency or some • other cause beyond the control of City,this lease and the obligations of the parties hereunder shall terminate and the lessee hereby waives any claim against the City, its employees or agents for damages by reason of such cancellation. Any notice of cancellation must be in writing and sent by certified mail ' C. Termination. The City may terminate this Leese if the Lessee fails to make its rental payment or palinrn any other condition or obligation required herein. The Lessee may terminate this Lease if the City fails to perform its obligations contained herein. Notice of termination must be in writing and sent by certified mail,as noted. ARTICLE XI Cotppli =WilbReguiafioons Lessee,at its sole expense,shall comply with all laws,orders and regulations of federal, state and municipal authorities,and with any direction of any public officer,pursuant to law,which imposes any duty upon Lessee or the City with respect to the leased premises. Lessee,at its sole expense shall obtain all licenses or permits which may be required for the conduct of its business within the terms of this agreement,or for making repairs,alterations, improvements,or additions. The City,when necessary,will Join with Lessee in applying for all such permits or licenses. ARTICLE XII Liability In rano Lessee shall obtain and maintain at all times during the term hereof with a responsible 4 insurer,for the benefit of the City and the Leasee as their respective interest may appear, comprehensive general liability insurance in the amount of One Million dollars($1,000,000.00)per occurrence with an aggregate value of Two Million dollars($2,000,000.00),to protect against any loss,claims,lawsuits or liability for damages,property damage,personal injury or death,and any expenses of the parties against any claim for such damages which might result from use or occupation or condition of the premises. Simultaneously with and as a prerequisite of executing of this lease,Lessee shall furnish a copy of such insurance policy(ies)to the City and such policy(ies) shall contain an endorsement that it shell not be canceled or altered without at least thirty(30)days prior written notice to the City from the insurer. The City and Lessee shall be specifically named as insured under said policy. ARTICLE XIII jndenetWcation Lessee hereby indemnifies and agrees to hold the City free and harmless from and against any and all actions,claims and demands arising out of the use or occupancy of the premises by Lessee or the failure of the Lessee to maintain the premises as herein provided,including,but without limitation,any carelessness,negligence,improper conduct,wrongful or intentional act or broach of this Lease by the Lessee or its agents,employees,patrons.invitees,suppliers or licensees, and any and all costs,expenses and ken,including attorneys'fees,incurred by the City incident thereto. The City hereby indemnifies and agrees to hold the Lessee free and hsrnmlees from any and all actions caused by the solo negligence of the City. ARTICLE XIV Us&Riabt of Entry and Inspadion/l e/Repair* A Use. Lessee shall not use or permit the use of the leased premises/Or any purpose prohibited by law,shall comply with all requirements and demands of all governmental agencies or officiate with respect to the condition,use and ooeupaney of the premises as such may appear from time to time during the term of this Lease and shall not commit nor suffix to be committed any nuisance on or 5 • waste of the premises. B. Right of Entry and Inspection. Leasee span permit the Cay or the City's duly authorized agents,employees or representatives to enter upon the leased premises at all reasonable times fbr the purpose of inspection. C. Demige. It is specifically understood that any damage caused by Lessee or its guests to the premises during the tens of this Lease shalt be promptly corrected or replaced at the Lessee's expense. D. Repairs. All repairs to the premises during the terms of this Lease shall be the sole responsibility of the Lessees. ARTICLE XV Time of the EasnoQ Time is and shall be deemed of the essence in respect to the perforator=of each provision of this Lease. ARTICLE XVI Mortgpgjes and Subleases Lessee may not assign its rights under this agreement or assign,encumber or sublet the described premises without the prior written consent of the City hereof: ARTICLE XVII Surreaeder Upon Termination Upon the termination or cancellation of this Lease,Lessee.as its solo expense,shall remove from the premises all merchandise,ferniture,fiunishings,equipment or any other personal property belonging to it,and shall quietly and peaceably surrender possession of the leased premises in a similar or an improved condition as when received. There shall not be any holding-over by Lessee beyond the termination or cancellation of this Lease. Any such holding- over by Lessee shall incur to the City a penalty fee of$t 00.00 per day. 6 ARTICLE XVIII Entire Agreement This Lame shall be deemed to include the entire agreement between the parties hereto and no waiver of any right,agreement or condition heroin and no modification of any term or condition herein shall be binding upon either partyunlestrinwriting and-signed-by both parties. ARTICLE XIX Partial Invalidity In the event any provision of this Lease or part thereof shall be determined by any court of competent jurisdiction to be invalid,void or otherwise unenforceable,the remaining . provisions hereunder,or parts thereof shall remain in full force and effect and shall in no way be affbeted,impaired or invalidated thereby. ARTICLE XX Noticed/Damends Notices or demands required hereunder shall be in writing and shall bo sent by certified mail(return receipt requested)to those persons at the addresses noted herein. The address of either party hereinabove set forth may be changed from time to time by giving written notice in that regard. All payments required to be made hereunder shall be made at the appropriate address hereinabove set forth or to such address as either of the parties may from time to time ARTICLE XXI (indoor Shooting Lessee agrees that outdoor shooting is allowed for only the first bur(4)years of this lanae. The parties agree that Lessee shall surrender the outdoor shooting range after the fourth year of this lease. I will be in Missoula when the next Park Board meeting is to be held. I also think Scot will be out of town. Please read the draft settlement and if you have questions please let me know. If the Park Board wants to make a general statement about the settlement I would suggest one letter with all signatures of the Park Board members. I am not sure how or when the money will become available but I will contact AIicia and see if I can get a timeline narrowed down. I would think that the City may not want to go forward spending money on a toilet if one can be provided with this settlement. My opinion only and you all can decide for yourselves. Yesterday,the State of Montana,the U.S.Department of Justice,and the U.S.Department of the Interior announced a proposed settlement with ExxonMobil Pipeline Company to resolve natural resource damage claims stemming from the July 1,2011 Yellowstone River oil spill. ExxonMobil Pipeline Company has agreed to pay$12 million in natural resource damages to the federal government and the State of Montana as Trustees for the natural resources devastated by the spill. The proposed consent decree was filed in federal court yesterday,and the State and federal government have issued a draft restoration plan that will take action to address the natural resource injuries. • In the restoration plan,the Trustees evaluated a range of restoration alternatives that would provide resource services to compensate the public for losses pending natural recovery of resources injured by the oil spill. Riverside Park has been chosen to receive a vault toilet in the settlement with ExxonMobil. There is a public comment period that if you choose to respond should be done in the next 30 days. I will be in Missoula when the next Park Board meeting is to be held. I also think Scot will be out of town. Please read the draft settlement and if you have questions please let me know. If the Park Board wants to make a general statement about the settlement I would suggest one letter with all signatures of the Park Board members. I am not sure how or when the money will become available but I will contact Alicia and see if I can get a timeline narrowed down. 1 would think that the City may not want to go forward spending money on a toilet if one can be provided with this settlement. My opinion only and you all can decide for yourselves. I will follow up with another email if I learn of the date the money will be received by the DOJ. Yesterday,the State of Montana,the U.S.Department of Justice,and the U.S.Department of the Interior announced a proposed settlement with ExxonMobil Pipeline Company to resolve natural resource damage claims stemming from the July 1,2011 Yellowstone River oil spill. ExxonMobil Pipeline Company has agreed to pay$12 million in natural resource damages to the federal government and the State of Montana as Trustees for the natural resources devastated by the spill. The proposed consent decree was filed in federal court yesterday,and the State and federal government have issued a draft restoration plan that will take action to address the natural resource injuries. In the restoration plan,the Trustees evaluated a range of restoration alternatives that would provide resource services to compensate the public for losses pending natural recovery of resources injured by the oil spill. The Trustees plan to work with project partners such as local, state,and federal agencies and nonprofit organizations and landowners to implement the projects. The public comment period on the draft restoration plan will close at 5:00 PM on Monday, October 31,2016.
