HomeMy WebLinkAboutLibrary Board - 1986 FRIENDS OF THE LIBRARY CONSTITUTION & 2X-LAWS Laurel, Montana Sept. 1986 Article I NAME The name of this association shall be "Friends of the Laurel Library." Article II PURPOSE The purpose of this association shall be to bring together people interested in books and reading; to assure continued financial support from public and private sources; to en- courage reading and the use of the library and its associated facilities;to stimulate gifts of books and other bequests to the library; to promote community knowledge of, and interest in, the library's services and needs; to interpret the library's values and needs to public officials; to insure continuity of service for all city and,county residents; and to support the freedom to read as expressed in the American Library Association Bill of Rights. Article III MEMBERSHIP Membership in the Association shall be open to any individual or organization. Each individual member and each organization through an/ appointed representative shall be entitled to one vote. Article IV Officers Sec. 1. The officers of this association shall be President, Vice - President, Secretary, and Treasurer, each of whom shall perform the duties customary to such of- fice; The four officers, together with the chair- person of the standing committees shall constitute the Executive Board. The Executive Board shall be empowered to initiate and execute such activities as it considers desirable to accomplish the purpose of the Association, subject to the direction it may receive from the membership at meeting df the Association. page 2 Constitution & By -Laws Friends of the Laurel Library Sec. 2. The officers shall be elected by the membership at the Annual Meeting. Nominations for officers shall be made both by the Nomination Committee, to be appointed for that purpose by the Executive Board, or by any member present at the Annual Meeting, with the con- currence of the members present at that meeting. Sec. 3. In case of any vacancy in office, the Vice - President shall succeed the President, any other officer shall be appointed by the Executive Board to serve until the next Annual Meeting, and any Standing Committee Chairperson shall be appointed by the President with the concurrence of the Executive Board. Article V MEETINGS Sec. 1. The Annual Meeting of the members shall be,held in September. A quorum for conducting the business of the Annual Meeting shall be seven members, including the officers, with the dues paid as of the date of the meeting. Sec. 2. Other regular meetings of the members shall be held at a time to be designated by the Executive Board in October, February, and March. Sec. 3. The President or any member-of the Executive Board may call a meeting of the Executive Board. The person calling the meeting of the Executive Board shall endeavor to give notice to other members of the Board. Article VI COMMITTEES Sec. 1. The Committees shall be a Program and Activities Committee, a Publicity Committee, and a Liayison Committee. Sec.2. The President shall be an ex- officio member of all four standing committees. Sec. 3. Special committees may be constituted at any time by the Executive Board, the members thereof to be appointed by the President. Article WII FUNDS Sec. 1. The dues shall be determined at the Annual Meeting. Dues shall be payable as of September of each year. Page 3 Constitution and By -Laws Friends of the Laurel Library Sec. 2. All funds shall be suitably accounted for and dis- bursed by the Treasurer or the Vice- President as authorized by the Executive Board. Sec. 3. An auditing committee, appointed by the President for the purpose, shall audit the Treasurer's books before each Annual Meeting and make a report thereon. Article VIII AMENDMENTS This constitution and these by -laws may be amended at any membership meeting by a majority vote of the members present and voting. A notice posted in the Library two weeks before the membership meeting shall be considered sufficient publication for an amendment to this constitution and by -laws.
